
Agreement to Terms
These Terms of Service ("Terms") govern your use of BitSafe's decentralized infrastructure and services (the "Service") operated by DLC-Link, Inc. dba BitSafe ("BitSafe," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.
If you disagree with any part of these Terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
Definitions
"Service" refers to the BitSafe platform, website, and infrastructure services, including CBTC, Decentralization Manager, and Decentralization Services
"User" refers to any individual or entity using our Service
"Digital Assets" refers to cryptocurrencies, including Bitcoin and CBTC
"CBTC" refers to BitSafe's Bitcoin-backed asset issued on Canton Network
"Decentralization Manager" refers to BitSafe's open-source framework for creating and managing Decentralized Parties and governed applications on Canton
"Node Operator" refers to independent institutional operators participating in the infrastructure that secures and governs BitSafe products
Eligibility and Account Registration
Eligibility Requirements
To use our Service, you must:
Be at least 18 years old (or the age of majority in your jurisdiction)
Have legal capacity to enter into binding agreements
Not be prohibited from using digital asset infrastructure services under applicable law
Access the Service through an institutional partner or Node Operator under a governing Master Services Agreement (MSA); KYC/AML verification of end customers is handled contractually by that partner, and Users participating via Canton Network are deemed verified for purposes of the Servic
Comply with all applicable laws and regulations
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
Service Description
BitSafe provides decentralized infrastructure for institutions and developers building on Canton Network, including:
CBTC — Bitcoin on Canton, secured by independent institutional node operators through threshold signing
Decentralization Manager — an open-source framework for creating and managing Decentralized Parties and governed applications
Decentralization Services — advisory, custom builds, node operator matching, and data services for institutions building decentralized applications on Canton
We act as an infrastructure and technology provider. We do not provide investment advice, and we are not a party to any trading, lending, or investment decisions made by Users.
Risks and Disclaimers
RISK WARNING: Interacting with digital asset infrastructure carries risk. Key risks include:
Market volatility in the value of digital assets
Regulatory changes affecting digital assets and decentralized infrastructure
Technology risks, including smart contract vulnerabilities
Risks associated with third-party node operators and validators
Operational risks inherent to decentralized systems
Nothing in the Service constitutes investment, legal, or tax advice. Users should seek independent professional advice before using the Service.
User Obligations and Prohibited Activities
You agree to:
Provide accurate and complete information during registration
Comply with all applicable laws and regulations
Not use the Service for illegal activities or money laundering
Not attempt to manipulate or disrupt the Service
Not share your account credentials with third parties
Report any suspicious activities or security breaches
Prohibited Activities
Users are prohibited from engaging in market manipulation, fraud, money laundering, terrorist financing, or any activities that violate applicable laws or regulations.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITSAFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Fees and Charges
BitSafe may charge fees for certain platform and infrastructure services. Detailed fee information, where applicable, is provided directly to Users during onboarding. Specific fee terms for institutional engagements are governed by a separate Master Services Agreement (MSA) between BitSafe and the customer, which takes precedence over this general description. We reserve the right to modify fees with appropriate notice.
Intellectual Property Rights
The Service and its original content, features, and functionality are owned by BitSafe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Decentralization Manager is open-sourced under the Apache 2.0 license; use of that open-source code is governed by its license terms, not these Terms.
You may not reproduce, distribute, modify, or create derivative works of our other content without explicit written permission.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITSAFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Our total liability shall not exceed the amount of fees paid by you to BitSafe in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold BitSafe harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.
You may close your account at any time by following the procedures outlined in your account settings, subject to settlement of outstanding obligations.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration conducted in accordance with the Delaware Rapid Arbitration Act (6 Del. C. §§ 5801 et seq.) ("DRAA"). The arbitration shall be seated in Wilmington, Delaware, conducted by a single arbitrator, and the arbitrator shall render a final award within the timeframes prescribed by the DRAA. Judgment on the award rendered may be entered in any court having jurisdiction thereof.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify Users of material changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.
